1. Acceptance of Terms

These Terms of Service ("Terms," "Agreement") constitute a legally binding contract between you ("User," "you," or "your") and NordShieldVPN ("Company," "we," "us," or "our"), governing your access to and use of our virtual private network services, software applications, website located at aggree.top, and all related services (collectively, the "Services").

By accessing, downloading, installing, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease using our Services.

You represent and warrant that you are at least eighteen (18) years of age and have the full legal capacity to enter into this Agreement. If you are accessing the Services on behalf of a business entity or organization, you represent that you have the authority to bind that entity to these Terms, and references to "you" shall include that entity.

These Terms apply to all users of NordShieldVPN, including without limitation individual subscribers, corporate clients, and any other persons who access or use our Services in any manner. By using the Services, you also consent to receiving electronic communications from us, including notices, agreements, and other disclosures, as required by applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act).

2. Description of Services

NordShieldVPN provides a suite of digital privacy and security services designed to protect your online activities and enhance your internet experience. Our Services include, but are not limited to:

• Virtual Private Network (VPN) Service: Encrypted tunneling of your internet traffic through our secure servers to protect your data from interception, surveillance, and unauthorized access.
• IP Address Masking: Replacement of your real IP address with one of our server IP addresses to enhance your online anonymity and privacy.
• Multi-Platform Applications: Native software applications compatible with Windows, macOS, iOS, Android, Linux, and supported routers.
• Kill Switch Technology: Automatic internet disconnection in the event that the VPN connection drops, preventing accidental data exposure.
• DNS Leak Protection: Prevention of DNS queries from being exposed outside of the encrypted VPN tunnel.
• Multi-Factor Authentication: Enhanced account security features to protect your NordShieldVPN account.
• Customer Support: Technical assistance via email and other designated support channels.

NordShieldVPN reserves the right to modify, enhance, suspend, or discontinue any aspect of the Services at any time, with or without prior notice to users. We may also impose limits on certain features or restrict access to parts or all of the Services without liability to you or any third party.

The Services are provided for lawful purposes only. NordShieldVPN does not guarantee uninterrupted service, specific connection speeds, or access to any particular website or content. The performance and availability of the Services may vary depending on your geographic location, internet service provider, device capabilities, and network conditions.

3. User Account Registration

To access certain features of our Services, you may be required to create a user account. When registering for an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately at [email protected] if you suspect any unauthorized use of your account or any other breach of security. NordShieldVPN will not be liable for any loss or damage arising from your failure to safeguard your account credentials.

Each account is for individual use only unless you have subscribed to a business or multi-device plan that explicitly permits multiple users. Sharing your account credentials with third parties not authorized under your subscription plan is prohibited and may result in immediate termination of your account.

4. User Obligations and Prohibited Activities

By using NordShieldVPN's Services, you agree to use them in a lawful, ethical, and responsible manner. You expressly agree that you will not use the Services to:

4.1 Illegal Activities

• Engage in any activity that violates applicable federal, state, or local laws and regulations of the United States, including but not limited to the Computer Fraud and Abuse Act (18 U.S.C. § 1030), the Electronic Communications Privacy Act, and any applicable state cybercrime laws.
• Distribute, transmit, or facilitate the distribution of child sexual abuse material (CSAM) or any content that exploits minors in violation of 18 U.S.C. § 2256 et seq.
• Engage in activities that violate the Digital Millennium Copyright Act (DMCA), including unauthorized downloading or distribution of copyrighted content.
• Conduct, facilitate, or participate in any form of fraud, identity theft, or financial crimes.
• Access, transmit, or distribute material that constitutes a criminal offense or gives rise to civil liability.
• Engage in activities related to terrorism, human trafficking, drug trafficking, or other serious criminal enterprises.

4.2 Technical Abuse

• Attempt to gain unauthorized access to any computer system, network, or data, including our own infrastructure.
• Conduct or facilitate distributed denial-of-service (DDoS) attacks or any other form of network disruption.
• Deploy, distribute, or transmit malware, ransomware, spyware, viruses, or any other harmful code.
• Scan or probe network vulnerabilities without explicit written authorization from the target system owner.
• Attempt to reverse engineer, decompile, or disassemble any component of our software or services.
• Use our Services to operate botnets or automated systems that abuse or overload network infrastructure.

4.3 Platform Abuse

• Circumvent any technical measures we employ to enforce these Terms or protect our Services.
• Create multiple accounts to exploit free trial offers or evade account terminations.
• Resell, sublicense, or commercially redistribute our Services without express written authorization.
• Use the Services in a manner that adversely affects our infrastructure, servers, or other users' ability to access the Services.
• Impersonate NordShieldVPN, its employees, or any other person or entity in connection with the Services.

Violation of any of these prohibitions may result in immediate termination of your account, reporting to law enforcement authorities, and potential civil or criminal liability. NordShieldVPN cooperates fully with law enforcement requests made in accordance with applicable law.

5. Intellectual Property Rights

All content, features, and functionality of the NordShieldVPN Services, including but not limited to software, source code, object code, algorithms, text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, user interfaces, and the selection and arrangement thereof, are the exclusive property of NordShieldVPN and its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The NordShieldVPN name, logo, and all related product and service names, design marks, and slogans are trademarks of NordShieldVPN. You are not permitted to use any of these marks without our prior written consent. All other trademarks, service marks, and trade names used in connection with our Services are the property of their respective owners.

5.1 License Grant

Subject to your compliance with these Terms and your maintenance of an active and paid subscription (where applicable), NordShieldVPN grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use our software applications solely for your personal, non-commercial use on devices owned or controlled by you, in accordance with these Terms.

5.2 Restrictions

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on our Services or any part thereof. You may not attempt to extract or access the source code of our software through reverse engineering or any other means. Any unauthorized use of our intellectual property constitutes a violation of these Terms and applicable law and may result in immediate termination of your license and legal action.

5.3 Feedback

If you submit suggestions, ideas, enhancement requests, or other feedback to NordShieldVPN regarding our Services, you grant us a worldwide, royalty-free, irrevocable, perpetual license to use, incorporate, and commercialize such feedback without any obligation or compensation to you.

6. Payment Terms and Subscription

NordShieldVPN offers both free and paid subscription tiers. The following terms apply to paid subscriptions:

6.1 Subscription Plans and Billing

Paid subscriptions are billed on a recurring basis — monthly, annually, or as otherwise specified at the time of purchase. By subscribing to a paid plan, you authorize NordShieldVPN to charge your designated payment method at the beginning of each billing cycle. All prices are listed in United States Dollars (USD) and are inclusive of applicable taxes unless otherwise stated.

6.2 Automatic Renewal

All paid subscriptions automatically renew at the end of each billing period unless you cancel prior to the renewal date. You will receive a renewal reminder before your subscription renews. To cancel your subscription, you must do so through your account settings or by contacting our support team at [email protected] before the renewal date.

6.3 Refund Policy

NordShieldVPN offers a thirty (30) day money-back guarantee for new subscribers. If you are not satisfied with our Services, you may request a full refund within thirty (30) days of your initial subscription purchase. Refund requests must be submitted to [email protected]. After this period, all fees are non-refundable except as required by applicable law. Refunds will be issued to the original payment method within seven (7) to ten (10) business days.

6.4 Price Changes

NordShieldVPN reserves the right to modify subscription prices at any time. We will provide at least thirty (30) days' advance notice of any price changes to existing subscribers via email or through the Services. Your continued use of the Services after the price change takes effect constitutes your agreement to pay the updated price.

6.5 Payment Processing

Payment processing is handled by third-party payment processors. By providing your payment information, you represent that you are authorized to use the designated payment method and authorize us to charge all fees incurred through your account to that payment method. We do not store your full credit card information on our servers.

7. Disclaimer of Warranties

THE NORDSHIELDVPN SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE UNIFORM COMMERCIAL CODE AS ADOPTED IN THE APPLICABLE STATE, NORDSHIELDVPN EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICES;
• WARRANTIES THAT THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS;
• WARRANTIES THAT ANY DEFECTS IN THE SERVICES WILL BE CORRECTED.

NordShieldVPN does not warrant that the use of our Services will guarantee complete anonymity or that our encryption protocols are invulnerable to all forms of attack. While we employ industry-standard security measures, no technology can guarantee absolute security. You acknowledge and accept these inherent limitations of VPN technology.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. In such cases, any implied warranties are limited to the minimum warranty period required by applicable law.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES FEDERAL AND STATE LAW, IN NO EVENT SHALL NORDSHIELDVPN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS;
• PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER;
• UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN;
• INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES;
• BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY;
• ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICES.

IN ALL CASES, NORDSHIELDVPN'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO NORDSHIELDVPN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

The limitations of liability set forth above shall apply regardless of the legal theory under which such damages are sought, whether in contract, tort (including negligence), strict liability, or otherwise, and even if NordShieldVPN has been advised of the possibility of such damages. Some states do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in certain jurisdictions.

9. Indemnification

You agree to defend, indemnify, and hold harmless NordShieldVPN, its affiliates, subsidiaries, officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your use or misuse of the Services;
• Your violation of any applicable federal, state, or local law, regulation, or third-party rights;
• Any content you transmit, store, or process through the Services;
• Your negligence or willful misconduct;
• Any claims by third parties arising from your use of the Services;
• Your violation of any intellectual property or privacy rights of any third party.

NordShieldVPN reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any such matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action, or proceeding promptly upon becoming aware of it.

10. Privacy and Data Protection

NordShieldVPN is committed to protecting your privacy. Our Privacy Policy, available at aggree.top, explains how we collect, use, disclose, and safeguard your personal information in connection with the Services. By using our Services, you consent to the data practices described in our Privacy Policy.

To the extent applicable, NordShieldVPN complies with the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), which grants California residents specific rights regarding their personal information. If you are a California resident, please refer to our Privacy Policy for information on how to exercise your rights under the CCPA/CPRA.

NordShieldVPN maintains a strict no-logs policy with respect to your online activities while connected to our VPN service. We do not monitor, record, log, store, or share your browsing history, traffic data, DNS queries, or the content of your communications. 11. Governing Law and Jurisdiction

These Terms of Service and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the United States and applicable state law, without regard to its conflict of law provisions. Specifically, to the extent applicable, these Terms are subject to:

• The Federal Arbitration Act (9 U.S.C. § 1 et seq.)
• The Computer Fraud and Abuse Act (18 U.S.C. § 1030)
• The Electronic Communications Privacy Act (18 U.S.C. §§ 2510-2523)
• The Federal Trade Commission Act (15 U.S.C. § 41 et seq.) and FTC regulations regarding unfair or deceptive practices
• The Digital Millennium Copyright Act (17 U.S.C. § 512)
• All other applicable United States federal and state laws and regulations

Subject to the arbitration provisions set forth below, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in the United States for the resolution of any disputes not subject to arbitration. If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to attempt to resolve any dispute informally by contacting NordShieldVPN at [email protected] with a written description of the dispute. We will attempt to respond and resolve the dispute within thirty (30) days. If the dispute is not resolved within that period, either party may proceed to formal dispute resolution as set forth below.

12.2 Binding Arbitration

EXCEPT AS EXPLICITLY PROVIDED HEREIN, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, INCLUDING THE VALIDITY, INVALIDITY, BREACH, OR TERMINATION THEREOF, SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT, PURSUANT TO THE FEDERAL ARBITRATION ACT (9 U.S.C. § 1 ET SEQ.).

The arbitration shall be conducted by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules then in effect, which are available at www.adr.org. The arbitration shall be conducted in the English language. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND NORDSHIELDVPN EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, BOTH YOU AND NORDSHIELDVPN EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

12.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights, confidentiality obligations, or to prevent irreparable harm. Small claims court actions that qualify under applicable rules are also excluded from mandatory arbitration.

12.5 Time Limitation on Claims

TO THE EXTENT PERMITTED BY LAW, ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

13. Term and Termination

13.1 Term

These Terms shall remain in full force and effect while you use the Services or maintain an account with NordShieldVPN. Certain provisions of these Terms shall survive termination, as set forth below.

13.2 Termination by You

You may terminate your account and these Terms at any time by canceling your subscription and deleting your account through your account settings, or by contacting our support team at [email protected]. Termination of your account does not entitle you to a refund of any prepaid subscription fees except as provided under our Refund Policy or as required by applicable law.

13.3 Termination by NordShieldVPN

NordShieldVPN reserves the right to suspend or terminate your account and access to the Services, with or without notice, for any reason, including but not limited to:

• Your violation of these Terms or any applicable law;
• Fraudulent, abusive, or illegal activity associated with your account;
• Non-payment of subscription fees;
• Conduct that NordShieldVPN determines, in its sole discretion, is harmful to our users, third parties, or the integrity of our Services;
• Requests by law enforcement or government agencies;
• Discontinuation of our Services.

13.4 Effect of Termination

Upon termination of your account for any reason, your right to use the Services shall immediately cease. NordShieldVPN may delete your account data in accordance with our data retention policy. The following provisions of these Terms shall survive termination: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and this Survival clause.

14. Changes to Terms of Service

NordShieldVPN reserves the right to modify, amend, or update these Terms of Service at any time in our sole discretion. When we make material changes to these Terms, we will notify you by:

NordShieldVPN does not warrant or endorse any third-party services and is not responsible for any transactions between you and any third-party service providers. Your use of third-party services is at your own risk and is governed by the terms and conditions of those third parties.

16. Export Control Compliance

The Services and software provided by NordShieldVPN may be subject to United States export control laws and regulations, including the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce and the International Traffic in Arms Regulations (ITAR). You agree that you will not export, re-export, or transfer the Services or software to any country, person, entity, or end-user in violation of applicable U.S. export control laws and regulations. By using our Services, you represent that you are not located in a country subject to U.S. government embargo and that you are not listed on any U.S. government list of prohibited or restricted parties.

17. Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, unenforceable, or contrary to applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms, and the remaining provisions of these Terms shall continue in full force and effect.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision, and these Terms shall be construed as if the invalid, illegal, or unenforceable provision had never been contained herein, except where the removal of the provision would materially change the nature or intent of the agreement between the parties.

18. Entire Agreement and Waiver

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by NordShieldVPN on the Services, constitute the entire agreement between you and NordShieldVPN with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Services.

The failure of NordShieldVPN to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by an authorized representative of NordShieldVPN. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

19. Force Majeure

NordShieldVPN shall not be liable for any delay or failure to perform its obligations under these Terms to the extent such delay or failure is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, civil unrest, government actions, labor disputes, power outages, internet infrastructure failures, or other force majeure events. In such circumstances, we will use commercially reasonable efforts to minimize the impact on our Services and to resume normal operations as soon as practicable.

20. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Any attempted assignment without such consent shall be null and void. NordShieldVPN may freely assign or transfer its rights and obligations under these Terms to any affiliate, successor, or acquirer in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, without restriction and without notice to you.
